Welcome to the Aitom AI Agent Service. By subscribing to and using our services, you (the User) agree to comply with and be bound by the following terms and conditions as stated below by us (the Service Provider). Your continued use of the service implies your acceptance of these terms and any future modifications.

1. Internet Connectivity: The Aitom AI Agent Service requires a stable and continuous internet connection for optimal functionality. The User is responsible for their own internet connectivity and any associated costs.
2. AI Conversational Responses: The Aitom AI Agent Service employs an AI Large Language Model (LLM) for its conversational features. While the Service Provider has diligently endeavoured to optimize the accuracy of AI responses, the User acknowledges the inherent, non-deterministic nature of AI and that the AI may generate unexpected or unintended responses.
3. Third-Party Services: The Aitom AI Agent Service may rely on services from reputable third-party tech providers, such as Google, Microsoft, Meta, Amazon, Anthropic, OpenAI and others, for its underlying functionalities. While these third-party service providers maintain a high degree of reliability, the User acknowledges that instances of downtime may occur in our product when the services provided by these third-party entities become temporarily unavailable, and any interruptions caused by their unavailability are beyond our control.
4. Account Credentials: Users are responsible for maintaining the confidentiality of their account credentials. Users should promptly report any unauthorized access or suspicious activities related to their account to the Service Provider.
5. Intellectual Property: The Aitom AI Agent Service and its constituent technologies are protected by intellectual property laws. Users are granted a limited, non-exclusive license to use Aitom AI Agent Service for its intended purpose.
6. Data Privacy and Security: The User's data is managed in strict compliance with applicable privacy and data protection laws. Although the service provider diligently implements robust security measures, users are encouraged to exercise due diligence in safeguarding their data.
7. Limitation of Liability: The User acknowledges and agrees that the Service Provider assumes no responsibility for any direct, indirect, incidental, or consequential damages resulting from the utilization or unavailability of the Aitom AI Agent Service. In circumstances requiring compensation, the Service Provider's liability shall not exceed the total subscription costs paid by the User for the relevant subscription period.
8. Termination: The Service Provider reserves the right to terminate or suspend user accounts in the event of terms violations or improper use.
9. Updates and Changes: The terms and conditions may be updated, and users are encouraged to review them periodically. Users will be notified of significant changes to the terms.
10. Governing Law: The terms and conditions are governed by the laws of Singapore, and any disputes are subject to the exclusive jurisdiction of the courts in Singapore.

Aitom Generative AI Terms of Use

These Generative AI Terms of Use ("AI Terms") govern your access to and use of Aitom Generative AI Solutions ("Aitom Gen AI") provided by Anewtech Systems Pte Ltd ("Anewtech", "we", "our", or "us").

These AI Terms apply to all customers, partners, resellers, licensees, authorised users, companies, and individuals who access or use Aitom Gen AI ("Customer", "you", or "your").

By accessing or using Aitom Gen AI, you acknowledge and agree to be bound by these AI Terms.

These AI Terms supplement the applicable Software Transaction Agreement, purchase order, subscription agreement, licence agreement, Data Processing Addendum ("DPA"), and related documentation (collectively, the "Agreement"). Unless expressly stated otherwise, these AI Terms govern matters specifically relating to Aitom Gen AI functionality.

1. Scope of Aitom Generative AI Services

Aitom Gen AI may include artificial intelligence functionality powered by third-party AI technologies, including Large Language Models ("LLMs"), machine learning models, and related AI services.

Aitom Gen AI may include:

(a) Integrated Generative AI
Third-party generative AI services accessed through APIs and integrated with Aitom software solutions.

Examples include third-party AI services provided by organisations such as OpenAI, Microsoft, Google, Anthropic, Meta, and other AI technology providers.

(b) Embedded Generative AI
Third-party AI technologies embedded directly within Aitom software solutions and made available as part of the licensed product functionality.

2. Third-Party AI Technologies and LLM Dependency

Aitom Gen AI relies on Large Language Models ("LLMs") and other artificial intelligence technologies provided by third-party AI service providers.

While Anewtech incorporates commercially reasonable safeguards, configurable guardrails, security controls, and other measures designed to reduce inaccurate, inappropriate, unsafe, or brand-inconsistent outputs, LLM-generated responses are probabilistic and non-deterministic in nature.

As a result, AI-generated responses may occasionally contain:

• inaccuracies;
• omissions;
• outdated information;
• hallucinations;
• biased or unexpected content; or
• statements inconsistent with the Customer's intended messaging, business requirements, or expectations.

The Customer acknowledges and accepts that these limitations are inherent characteristics of current AI technologies.

Anewtech does not guarantee that AI-generated outputs will always be accurate, complete, reliable, current, appropriate, or suitable for any specific purpose.

3. Customer Responsibilities

The Customer remains responsible for the appropriate use of Aitom Gen AI.

The Customer shall:

• review and validate AI-generated content before publication, communication, distribution, or reliance;
• ensure that AI-generated content is appropriate for its intended business purpose;
• comply with all applicable laws, regulations, industry standards, and internal policies;
• ensure that prompts, inputs, uploaded information, and generated outputs do not infringe any third-party rights;
• maintain appropriate human oversight when using AI-generated content for business-critical decisions; and
• obtain all necessary licences, permissions, or approvals required for its use of third-party AI services.

The Customer is solely responsible for determining whether any AI-generated output is accurate, lawful, appropriate, and suitable for its intended use.

4. Personal Data and Sensitive Information

Customers must ensure that information submitted to Aitom Gen AI complies with all applicable privacy and data protection requirements, including the Singapore Personal Data Protection Act 2012 ("PDPA") where applicable.

Unless expressly agreed in writing, Aitom Gen AI is not intended for processing:

• sensitive personal data;
• medical or healthcare information;
• financial account information;
• confidential government information;
• highly confidential business information; or
• regulated data requiring specialised compliance controls.

Where third-party AI providers are involved, Customer Data may be processed by such providers in accordance with applicable contractual arrangements, privacy policies, and technical requirements.

The Customer remains responsible for ensuring that its use of Aitom Gen AI complies with applicable data protection obligations.

5. Third-Party AI Service Providers

Aitom Gen AI may depend on third-party AI services, APIs, infrastructure, and models.

Anewtech does not control third-party AI providers and shall not be responsible for:

• availability or uptime of third-party AI services;
• changes to AI models, capabilities, pricing, policies, or terms;
• limitations or restrictions imposed by third-party providers;
• degradation in performance or output quality;
• suspension, discontinuation, or replacement of third-party AI services; or
• any output generated by third-party AI models.

Customer use of third-party AI services may also be subject to the applicable terms and conditions of those providers.

6. AI-Generated Output

Any content generated by Aitom Gen AI ("Output") is generated through artificial intelligence technologies and is provided on an "as is" basis.

The Customer acknowledges that:

• Output has not been independently verified or endorsed by Anewtech;
• Output may contain errors, inaccuracies, omissions, or unexpected results;
• similar or identical output may be generated for other users;
• AI-generated output may not qualify for intellectual property protection under applicable laws; and
• ownership and usage rights relating to AI-generated output may vary depending on applicable laws and third-party AI provider terms.

The Customer is solely responsible for reviewing and determining whether Output may be used, published, distributed, or relied upon.

Anewtech does not provide legal, financial, medical, regulatory, or professional advice through Aitom Gen AI.

7. Intellectual Property Rights

Nothing in these AI Terms transfers ownership of:

• Anewtech software;
• Aitom Gen AI technology;
• software documentation;
• proprietary algorithms;
• underlying AI models;
• third-party AI provider technology; or
• pre-existing materials.

Any rights granted to Customer are limited to the use of Aitom Gen AI as permitted under the applicable Agreement.

8. Changes to AI Functionality

Artificial intelligence technology and related regulatory requirements continue to evolve.

Anewtech reserves the right to modify, restrict, suspend, replace, or discontinue any AI functionality where reasonably necessary, including due to:

• changes in applicable laws or regulations;
• requirements imposed by third-party AI providers;
• security concerns;
• technical limitations; or
• operational considerations.

Where reasonably practicable, Anewtech will provide notice of material changes affecting Customer use.

9. Service Availability and Service Levels

Service level commitments, uptime guarantees, service credits, or similar remedies under the Agreement shall not apply to interruptions, degradation, or failures caused by:

• third-party AI providers;
• third-party AI models;
• AI model changes;
• API limitations; or
• external AI infrastructure dependencies.

10. Disclaimer of Warranties

To the maximum extent permitted by applicable law, Aitom Gen AI is provided on an "as is" and "as available" basis.

Anewtech expressly disclaims all warranties, whether express, implied, statutory, or otherwise, including warranties relating to:

• accuracy;
• reliability;
• availability;
• merchantability;
• fitness for a particular purpose;
• non-infringement;
• uninterrupted operation; and
• error-free performance.

Anewtech does not warrant that:

• AI-generated outputs will satisfy Customer requirements;
• AI-generated outputs will be accurate or complete;
• AI services will operate without interruption; or
• third-party AI providers will continue providing equivalent functionality.

11. Limitation of Liability

To the maximum extent permitted under applicable law, Anewtech shall not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, including loss of:

• profits;
• revenue;
• business opportunities;
• goodwill;
• data; or
• anticipated savings.

This limitation applies to losses arising from or relating to:

• use of Aitom Gen AI;
• reliance on AI-generated outputs;
• inaccuracies or limitations of AI-generated content;
• changes in third-party AI models or services;
• interruption or unavailability of AI functionality; or
• decisions made based on AI-generated outputs.

The Customer acknowledges that Aitom Gen AI incorporates third-party LLM technologies whose outputs are inherently probabilistic and non-deterministic. Anewtech shall not be responsible for any decision, action, or omission made based on AI-generated outputs.

Subject to liabilities that cannot legally be excluded under Singapore law, Anewtech's total aggregate liability arising from or relating to Aitom Gen AI shall not exceed SGD 100.

12. Acceptable Use

The Customer shall not use Aitom Gen AI to:

• generate unlawful content;
• violate applicable laws or regulations;
• infringe intellectual property, privacy, or other rights of third parties;
• create harmful, deceptive, fraudulent, or malicious content;
• generate malware or facilitate cyber abuse;
• impersonate individuals or organisations for deceptive purposes; or
• perform activities where inaccurate AI outputs could reasonably result in significant harm without appropriate human oversight.

13. Governing Law

These AI Terms shall be governed by and construed in accordance with the laws of the Republic of Singapore.

Any dispute arising from or relating to these AI Terms shall be subject to the exclusive jurisdiction of the courts of Singapore.
